Terms of Service.
The legal agreement between you — the customer or subscriber — and BOTEN, the operator of this service. What we offer, what you pay, what each side commits to, and how either side can end the relationship.
A · General
1. Introduction
Welcome to BOTEN (the "Service" or the "System"). BOTEN is a platform that operates inside WhatsApp and serves private subscribers, business owners, event organisers and communities. The Service routes incoming WhatsApp messages between distinct contexts — a Private Space, a business Reception Desk, and an Event space — together with related functions such as smart search, content galleries, and lead summaries.
These Terms of Service (the "Agreement") form a binding legal contract between you (the "Customer", the "Subscriber" or "you") and the operator of BOTEN ("BOTEN", "we" or the "Company"). By signing up, paying, or starting to use the Service, you confirm that you have read, understood and agreed to every clause of this Agreement, including our Privacy Policy and Cancellation Policy.
2. Definitions
- The Service — the BOTEN system operating inside WhatsApp, including Private Space, Reception Desk, Event, smart search and related functions.
- Customer / Subscriber — any person or business entity that purchases a subscription to the Service.
- End user — a person who messages a Subscriber through BOTEN (a customer of a business, a guest of an event).
- Subscription period — a calendar month, automatically renewing until cancelled.
- Grow — Grow by Meshulam, the payment processor used by BOTEN.
B · Description of the Service & plans
3. What the Service includes
BOTEN runs on top of the WhatsApp Business API and provides:
- Smart routing of incoming messages between Private Space, business knowledge bases and Event spaces.
- Replies drawn from a knowledge base that the Subscriber approves.
- Lead summaries and performance reports.
- Support for nine languages (Hebrew, English, Arabic, Russian, French, Spanish, Ukrainian, German, Mandarin Chinese).
- Smart album, RSVP and event-specific information for the Event tier.
- Smart business search and discovery — included in the business plans, not sold as a separate add-on.
- Natural-language understanding powered by AI for shaping replies.
4. Plans & pricing
Existing draft text: the Service was previously offered in three base business plans (Starter / Business / Pro) at 79 ₪ / 149 ₪ / 249 ₪ per month, with a monthly conversation quota. This clause has since been replaced by a new plan structure described on the pricing page; the customer is presented with the relevant plan before purchase.

4.5 Going over the conversation quota
- An automatic WhatsApp warning is sent five conversations before the quota is reached.
- Default behaviour: the bot pauses for the rest of the billing period.
- The Subscriber may opt to keep operating beyond the quota; each additional conversation is billed at 1.50 ₪ + VAT.
- This opt-in is valid for the current billing period only.
- Overage cap: total overage charges in a period will not exceed the difference between the current plan and the next plan up.
C · Payment & billing
5. How payment works
All payments are processed through Grow by Meshulam. Supported methods: Visa, Mastercard, Isracard, American Express, Diners, Apple Pay, Google Pay and Bit. Once payment processing is enabled, the monthly charge runs automatically at the start of each subscription period. BOTEN does not store credit card details — card processing is handled by Grow under PCI DSS standards.
6. Invoices and receipts
In compliance with Israeli law, a tax invoice/receipt is issued for every payment and delivered to the Subscriber via WhatsApp or email. Under section 13D(d) of the Israeli Consumer Protection Law, a payment summary covering the preceding period is sent to the Subscriber at least every six months.
7. Failed payments
- First WhatsApp notice on the day the charge fails.
- A second charge is attempted within three business days.
- A second notice gives the Subscriber a seven-business-day grace period to update their payment method.
- If the method is not updated within the grace period, the Service is suspended. Subscriber data is retained for an additional 30 days, then deleted.
D · Obligations of the parties
8. Subscriber obligations
- Be 18 or older and legally able to enter into a contract.
- Hold an active, valid WhatsApp account in your name.
- Provide accurate information at signup and throughout the subscription.
- Ensure that information loaded into the bot (services, prices, event details) is accurate and not misleading.
- Not use the Service for unlawful purposes, fraud, consumer deception, money laundering, harassment, spam or any breach of law.
- Not attempt to break, disrupt, copy or reverse-engineer the Service.
- Make end users aware that they are interacting with an automated bot, not a human.
- Comply with all laws applicable to the Subscriber's business, including consumer-protection law, the Israeli Privacy Protection Law, and the WhatsApp Business terms.
- Not transfer, sell, lease or grant third-party access without prior written consent.
- Not use the Service to send unsolicited promotional messages.
9. BOTEN's obligations
- Deliver the Service as described in the plan that was purchased.
- Make reasonable effort to keep the Service available — target uptime 99.5% monthly average, excluding scheduled maintenance.
- Give at least 24 hours' notice of scheduled maintenance.
- Maintain information security in line with applicable law.
- Provide technical support according to the plan.
10. Prohibited uses
- Fraud, identity theft, impersonation.
- Sexual, violent, hateful or otherwise unlawful content.
- Collecting end-user information beyond what is needed to deliver the Service.
- Bulk messaging that is not connected to a legitimate activity.
- Breach of the WhatsApp Business Platform terms.
E · Cancellation, suspension & changes
11. Cancellation by the Subscriber
- Right to cancel: under sections 13C and 13D of the Israeli Consumer Protection Law, 1981, the Subscriber may cancel at any time.
- Within the first 14 days: from signup or from receipt of the written agreement — the Subscriber pays only for the days actually used. Setup fees (where applicable) are refunded after deduction of cancellation charges permitted by law.
- After 14 days: the previous monthly charge is final; no charge is applied to the next month; the Service remains active until the end of the paid month.

12. Cancellation / suspension by BOTEN
BOTEN may suspend or terminate the Service in cases of breach, non-payment, abuse, or order from a competent authority. The Subscriber will receive written notice by email and WhatsApp.
13. Changes to this Agreement
BOTEN may update this Agreement from time to time. Material changes will be announced with 30 days' prior notice to subscribers.
F · Intellectual property
All intellectual-property rights in the Service — including software, algorithms, design, trademarks and content — belong to BOTEN. They may not be used outside the Service without prior written consent. Content uploaded by the Subscriber remains the Subscriber's property; the Subscriber grants BOTEN a limited licence to use that content solely to deliver the Service.
G · Liability & limitation of liability
The Service is provided "as is". BOTEN makes reasonable efforts to ensure quality and availability, but does not guarantee uninterrupted operation or that the Service will fit every specific need. BOTEN's liability for any damage (direct or indirect) under this Agreement shall not exceed the total fees paid by the Subscriber in the 12 months preceding the relevant event. This clause does not apply to damages caused by intentional misconduct or gross negligence on BOTEN's part.
H · Miscellaneous
- Governing law: the laws of the State of Israel exclusively. Exclusive jurisdiction lies with the competent courts of Tel Aviv-Yafo.
- Severability: if any clause of this Agreement is held void or unenforceable, the remaining clauses remain in full force.
- Entire agreement: this Agreement, together with the Privacy Policy and the Cancellation page, constitutes the entire agreement between the parties.
- Assignment: BOTEN may assign this Agreement to a third party in the context of a merger, sale or restructuring. The Subscriber may not assign their obligations without prior written consent.
